Overview

I am proud to have earned my clients’ trust as a problem solver and advisor. I love to learn about their businesses, and that helps me provide the practical and effective legal solutions they need.

I bring over 25 years’ experience representing businesses, both large and small, in a variety of industries within our community. I serve businesses, business owners, executives, and professionals using a practical, collaborative approach, starting with the client’s objectives. I enjoy working with clients as an outside general counsel, advising on matters relating to business start-ups, business operations, personnel management and employment law, and corporate governance.

In my business advisory practice, I consult with clients on financing and operational issues, as well as handling risk management, negotiation, and document preparation. I often work in cooperation with the client’s senior management and outside professional advisors. Where special expertise is required, I assist clients in finding other advisors, whether they may be accountants, financial advisors, benefits managers, or other attorneys in specialized fields.

In addition, I represent clients in the purchase and sale of businesses. I have worked on deals with values ranging from less than $100,000 to more than $100 million. Whether the deal is structured as an asset purchase, an equity purchase (such as stock or LLC interests), or a merger or similar business combination, I bring my experience to identify important issues for the transaction, prioritize objectives, negotiate key terms, and manage the transaction from start to finish.

When advising clients on employment law, compliance with employment laws is the foundation for my work. I also work with my clients to identify business challenges in their workforce. Sometimes an adjustment to workplace policies or an incentive program may improve morale and retention. Whether a client is working to fix a workplace problem, respond to an alleged violation of employment law, or adapt their workplace to changing needs, I focus on solutions to move forward. I also represent executives and professionals in negotiating agreements for their employment, as well as severance agreements for negotiated departures.

My experience also includes advising both technology companies and their customers on acquiring, developing, licensing and using technology, software applications and information systems. I have negotiated on behalf of my clients with major companies, such as IBM, Microsoft, and HP. I have guided technology companies through start-up, growth and the purchase and sale of their businesses.

I have spoken throughout the United States on technology transactions, and my comments on employment issues have been quoted in numerous media in the Washington, D.C. area including The Washington Business Journal, Gazette.com, Examiner.com, and WTOP radio.
